The terms and conditions listed below refer to the SalesOn client application as well as the SalesOn
website developed by Swarnshlok Software Pvt. Ltd. (referred to as "SalesOn" or
"SO"). General conditions of use apply to all SalesOn users and site visitors.
A "user" is any legal or individual person using the SalesOn client application and/or assigned a
username and password for accessing the SalesOn website or dashboard.
By accessing any part of SalesOn, the user agrees to abide by these Terms and Conditions of Use.
Agreement
This agreement describes the terms governing the user's use of SalesOn and related services provided
on this website, including content, updates, and new releases (collectively, the "Services"). It
includes, by reference, SalesOn's Privacy Statement available on this website or provided to the
user in writing for the Services selected.
Use
SalesOn is protected by copyright, trade secret, and other intellectual property laws. Users are only
granted the right to use the Services, and SalesOn reserves all rights of ownership in the Services
not granted to the user in writing here. As long as the user meets applicable payment obligations
and complies with this agreement, SalesOn grants a personal, limited, non-exclusive,
non-transferable right to use the Services, valid only for the period of use provided in the
ordering and activation terms, and only for the purposes described by SalesOn on the website.
SalesOn strives to ensure system availability ("up time") 24 hours a day, all year round, and
functions within the specifications and purposes explained in publicly accessible documentation.
SalesOn does not bear responsibility for disturbances or interruptions due to connectivity issues or
other occurrences beyond its direct control, and shall not be liable for damage or loss caused by
improper use, inadequate equipment, or inability to use the system correctly — including inability
to connect for the aforementioned reasons.
In using SalesOn, the user agrees:
- Not to use false identities and/or use the system in an unauthorized manner on behalf of any
legal or private person
- Not to use SalesOn for achieving any illegal goals
- Not to obstruct the networks needed to provide the service
- Not to use any device, software, program, or other means to obstruct the functioning of the web
page or transactions offered by SalesOn
- Not to take any action that could damage SalesOn's infrastructure
- Not to use any tool to automate access to the system (agents, robots, etc.) for any reason
SalesOn reserves the right to restrict a user's access to SalesOn at any time if the user violates
any of the above regulations.
Trial Period
If a user registers for a trial use of the Services ("Trial Period"), they must decide to purchase
the Services within the Trial Period in order to retain any Content (defined below) posted or
uploaded during that period. If the user does not purchase the Services by the end of the Trial
Period, their content will no longer be made available, and SalesOn will not be responsible for any
of it.
To be very clear: after using the Services during the trial period, if the user decides not to
purchase the full version, they will not be able to access or retrieve any of the data added or
created during the trial.
Content
Users are responsible for their content. Users are legally responsible for all information, data,
text, software, music, sound, photographs, graphics, video, messages, or other materials ("Content")
uploaded, posted, or stored through use of the Services. The user grants SalesOn a worldwide,
royalty-free, non-exclusive license to host and use the Content in order to provide the Services.
The user agrees not to use the Services for any illegal purpose or in violation of applicable local,
state, federal, or international law, and is encouraged to archive their Content regularly and
frequently — the user is responsible for any Content that may be lost or unrecoverable. The user
must provide all required and appropriate warnings, information, and disclosure, and agrees not to
use the Services to share, store, or distribute financial data that is not in accordance with the
law. Users suspected of information involving fraud, embezzlement, money laundering, insider
trading, support for terrorism, or any other unlawful activity may have their accounts terminated,
their financial data erased, and may be reported to law enforcement. SalesOn is not responsible for
the Content or data a user submits on the website.
The user agrees not to use the Services to upload, post, distribute, link to, publish, reproduce,
engage in, or transmit any of the following:
- Illegal, fraudulent, libelous, defamatory, obscene, pornographic, profane, threatening, abusive,
hateful, harassing, offensive, inappropriate, or objectionable information or communications of
any kind — including conduct that would encourage or constitute an attack or "flaming" of
others, or criminal or civil liability under any local, state, federal, or foreign law
- Content or data that impersonates someone else or falsely represents the user's identity or
qualifications, or that breaches any individual's privacy — including posting images of children
or any third party without their consent (or a parent's consent in the case of a minor)
- Except as otherwise permitted by SalesOn in writing: advertisements, solicitations, investment
opportunities, chain letters, pyramid schemes, other unsolicited commercial communication,
spamming, or flooding
- Viruses, trojan horses, worms, or other disruptive or harmful software or data
- Any information, software, or Content that is not legally the user's and may be protected by
copyright or other proprietary right, or derivative works, without permission from the rights
owner
Community Forums
The Services may include a community forum to exchange information with other users and the public.
The user agrees to act with respect when interacting with other users. SalesOn does not support and
is not responsible for the accuracy of others' content in these community forums. The user agrees
not to reveal information in the community forum that they do not want made public. Users may post
hyperlinks to content hosted and maintained by third parties, for which SalesOn is not responsible.
SalesOn May Freely Use Feedback of Users
The user agrees that SalesOn may use their feedback, suggestions, or ideas in any way — including in
future modifications of the Services, other products or services, and advertising or marketing
materials.
The user grants SalesOn a perpetual, worldwide, fully transferable, sublicensable, non-revocable,
fully paid-up, royalty-free license to use the feedback they provide, in any way.
SalesOn May Monitor Users' Content From Time to Time
SalesOn may, but has no obligation to, monitor content on the Services. We may disclose any
information necessary or appropriate to satisfy our legal obligations, protect SalesOn or its
customers, or operate the Services properly. SalesOn, in its sole discretion, may refuse to post,
remove, or refuse to remove any Content, in whole or in part, alleged to be unacceptable,
undesirable, inappropriate, or in violation of this Agreement.
Permitted Disclosures and Use of Data
The user acknowledges and agrees that, in order to provide access to and use of the Software and
Services, SalesOn may provide their Access Information and Account Data to:
- Their employee or agent identified in the Registration Data as the current system administrator
for the user's account (the "Current Administrator")
- Any other employee or agent designated by the user as a replacement administrator, following
SalesOn's required procedures
- Any other person identified as an authorized user of the Software in the set-up interview form
or any subsequent communication to SalesOn (collectively, "Information Recipients")
Customer Support
Swarnshlok Software Pvt. Ltd., as the sole provider of the SalesOn service, is responsible for
offering customer service to its users. Users may contact customer support during working hours,
provided their subscription to SalesOn is still active.
Our support services predominantly serve the following needs:
- Correction of mistakes made during installation of the provider's program equipment
- Assistance with applications that are part of SalesOn, via email (user support address) and/or
telephone
- Prompt reporting to Swarnshlok Software Pvt. Ltd. if a user spots any bugs or other errors in
the system
SalesOn commits to fixing any bugs and correcting errors in the shortest amount of time possible, and
shall not bear responsibility for any damage a user might incur as a result of these inconveniences.
Software Updates
From time to time, the SalesOn service software may be updated. These updates are predominantly
intended to improve, upgrade, and further enhance the service, and may consist of files eliminating
mistakes, files with upgraded functions, new software modules, and completely new software versions.
To facilitate the updating process, new files are downloaded automatically from the provider's server
onto users' smartphones. The user agrees to accept these files and install them on their mobile
device as part of SalesOn.
Payments and System Usage Costs
SalesOn is available exclusively as a paid service. To use the system, a user must first sign an
agreement for use of SalesOn. The service provider will charge for usage costs according to the
tariffs valid on the day the service is used, or in compliance with the tariffs defined in the
agreement.
Cancellation of Services
Swarnshlok Software Pvt. Ltd. reserves the right to terminate offering the SalesOn service to any
users who violate the terms and conditions of usage. SalesOn may temporarily suspend services to
users who fail to settle payments owed to the service provider.
The user has the right to cancel using SalesOn's services at any time by submitting a written request
for termination of the agreement, unless otherwise agreed.
Security of Access, Security and Data Protection
Swarnshlok Software Pvt. Ltd. reserves the right to collect statistics concerning access to and usage
of SalesOn, and will use all available technical and economically justifiable means to protect the
user's business data from unauthorized access. In no event shall SalesOn be responsible for legal or
illegal breaches of a user's personal data and their disclosure to a third person (by way of a court
decision, system intrusion, etc.)
SalesOn ensures all internal associates are familiar with data security procedures and regulations.
To provide necessary data security, the user is entirely responsible for maintaining confidentiality
of their usernames and passwords, and will not forward them to other legal or private persons. If a
password is lost or stolen, the user agrees to notify SalesOn immediately, who will then issue a new
password and check for any intrusions. Users failing to comply with password safety guidelines shall
be liable for any damage resulting from destruction or unwanted disclosure of their business data.
The user can view SalesOn's Privacy Statement on the website, or via a link on the website for the
Services selected, and agrees to be bound by it, subject to change in accordance with its terms.
Most importantly, the user agrees:
- To SalesOn maintaining the user's data according to its Privacy Statement, as part of the
Services
- To give SalesOn permission to aggregate the user's uploaded, non-personally identifiable account
data with that of other users — for example, to improve services, design promotions, or let
users compare business practices with others
- That SalesOn is a global company and may access or store personal information in multiple
countries, including countries outside the European Union that may be deemed to have inadequate
protections; agreeing to these Terms means agreeing to this practice
Limitation of Liability
SalesOn states that all information and services offered on its web pages are on an "as is", "as
available" basis, without warranties of any kind regarding their availability, regularity, or
purpose.
The user utilizes the SalesOn web/mobile application at their sole risk. In no event shall SalesOn be
liable for any direct or indirect losses or damages arising out of or in connection with use of, or
inability to use, the information and/or services on this site — including due to possible mistakes
or incorrect information found on the site.
SalesOn continually works to offer maximum technical correctness on its web pages, and shall not be
liable for any direct or indirect losses, damages, or inconveniences arising out of technical
difficulties or interrupted work. SalesOn guarantees adequate equipment solely, and shall not be
liable for any irregularity or unlawfulness arising from the use of inadequate equipment or a user's
inability to utilize it correctly.
The user agrees to indemnify and hold SalesOn and its Affiliates and Suppliers harmless from any
claims, liability, and expenses, including reasonable attorneys' fees and costs, arising out of the
user's use of the Services or breach of this Agreement (collectively, "Claims"). SalesOn reserves
the right, at its own discretion and expense, to assume the exclusive defense and control of any
Claims, and the user agrees to reasonably cooperate as requested in the defense of any Claims.
Governing Law
This Agreement is published in compliance with, and is governed by, the provisions of Indian law,
including but not limited to the Indian Contract Act, 1872, the Information Technology Act, 2000,
and the rules, regulations, guidelines and clarifications framed thereunder — including the
Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal
Information) Rules, 2011 ("SPI Rules"), and the Information Technology (Intermediaries Guidelines)
Rules, 2011 ("IG Rules").
Final Regulations
SalesOn reserves the right to alter the general conditions of its business conduct and tariffs
without prior consent from its users. If a user does not agree with any such changes, they may
cancel the agreement at any time.
The contractual parties agree to resolve all disputes arising from their relationship by mutual
agreement. If an agreement is not possible, disputes shall be referred to the Court in Patna, India.
Legal regulations of Patna apply to any legal relationships arising from these conditions.
